Agreement: These Terms and Conditions ("Terms") constitute a legally binding agreement between you and Bitway Information Technology LLC ("Bitway", "we", "our", or "us"), governing your access to and use of the Bitway POS application, ERP platform, APIs, and all related services (collectively, the "Services").
1Acceptance of Terms
By accessing or using our Services, creating an account, or clicking "I Agree," you confirm that:
- You have read, understood, and agree to be bound by these Terms
- You are at least 18 years of age and have the legal capacity to enter into this agreement
- If acting on behalf of a business or entity, you have the authority to bind that entity to these Terms
- You agree to our Privacy Policy, which is incorporated into these Terms by reference
Important: If you do not agree to these Terms, you must immediately stop using our Services and delete your account.
2Description of Services
Bitway Information Technology LLC provides a cloud-based Point of Sale (POS) and Enterprise Resource Planning (ERP) platform. Our Services include:
- Bitway POS App: Mobile point-of-sale application for iOS and Android
- ERP Dashboard: Web-based business management portal for inventory, sales, customers, and reporting
- API Services: RESTful APIs enabling integration with third-party platforms
- Receipt & Report Printing: ESC/POS compatible printing services
- Customer Management: CRM features for managing business customers
- Cash Register Management: Shift management, open/close register, and cash tracking
We reserve the right to add, modify, or discontinue any feature of the Services with or without notice.
3Account Registration & Responsibilities
To use our Services, you must register for an account. You agree to:
- Provide accurate, current, and complete information during registration
- Keep your account credentials (username and password) confidential and secure
- Notify us immediately of any unauthorized use of your account
- Accept full responsibility for all activities that occur under your account
- Not share your account credentials with unauthorized individuals
- Not create multiple accounts for fraudulent or abusive purposes
You are solely responsible for maintaining the security of your account. Bitway will not be liable for any loss or damage arising from unauthorized access to your account.
4Subscription Plans & Payments
Subscription: Access to certain features may require a paid subscription plan.
- Subscription fees are billed in advance on a monthly or annual basis as selected
- All fees are quoted in UAE Dirhams (AED) unless otherwise stated
- Prices are subject to change with 30 days' prior written notice
- Subscriptions renew automatically unless cancelled before the renewal date
- No refunds are provided for partial subscription periods
Taxes: You are responsible for all applicable taxes, duties, and government charges related to your use of the Services. Prices displayed may be exclusive of VAT where applicable.
5Acceptable Use Policy
You agree to use our Services only for lawful business purposes. You must NOT:
- Use the Services to process illegal transactions or facilitate fraudulent activities
- Attempt to gain unauthorized access to our systems, networks, or other users' accounts
- Reverse engineer, decompile, or attempt to extract the source code of our software
- Use automated scripts or bots to access the Services without written permission
- Transmit viruses, malware, or any harmful or disruptive code
- Violate any applicable local, national, or international law or regulation
- Resell or sublicense access to the Services without prior written consent from Bitway
Violation of this policy may result in immediate account suspension or termination.
6Intellectual Property
All intellectual property rights in the Services, including software, design, trademarks, logos, text, and documentation, are owned by or licensed to Bitway Information Technology LLC.
- We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for your internal business purposes
- You may not copy, modify, distribute, sell, or lease any part of our Services
- The Bitway name, logo, and brand assets may not be used without written permission
Your Data: You retain all rights to the business data you enter into the Services. By using our Services, you grant us a limited license to process your data solely for the purpose of providing the Services.
7Data Ownership & Privacy
Your business data belongs to you. We process it solely to provide and improve our Services. Please refer to our Privacy Policy for complete details on how we collect, use, and protect your information.
- You can export your data at any time through the ERP dashboard
- Upon account termination, you may request a full data export within 30 days
- We do not sell your business or customer data to third parties
8Service Availability & Modifications
We strive to maintain high availability of our Services, but we do not guarantee uninterrupted access.
- Scheduled maintenance will be communicated in advance where possible
- We are not liable for downtime caused by factors outside our reasonable control
- We reserve the right to modify, update, or discontinue any feature with reasonable notice
We target 99.5% uptime on a monthly basis. Planned maintenance windows are typically scheduled during off-peak hours.
9Limitation of Liability
To the maximum extent permitted by applicable law, Bitway Information Technology LLC shall not be liable for indirect, incidental, special, consequential, or punitive damages, loss of profits, revenue, data, or business opportunities, damages arising from unauthorized access to your account, or actions of third-party services or integrations.
Our total cumulative liability to you for any claims arising from or related to the Services shall not exceed the total fees paid by you to Bitway in the 12 months preceding the claim.
10Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE ERROR-FREE OR UNINTERRUPTED.
11Indemnification
You agree to indemnify, defend, and hold harmless Bitway Information Technology LLC, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with your violation of these Terms, your use of the Services in an unlawful manner, or your infringement of any third-party rights.
12Termination
By You: You may cancel your account at any time through account settings. Cancellation takes effect at the end of the current billing period.
By Us: We reserve the right to suspend or terminate your account immediately if you violate these Terms, fail to pay subscription fees, or engage in fraudulent or abusive activities.
Effect of Termination: Upon termination, your right to access the Services ceases immediately. You may request a data export within 30 days, after which your data may be permanently deleted.
13Governing Law & Disputes
These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates. Any disputes arising from or related to these Terms or the Services shall be subject to the exclusive jurisdiction of the competent courts of the UAE.
Before initiating any formal legal proceedings, parties agree to attempt to resolve disputes through good-faith negotiation for a period of 30 days.
14Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page with a new effective date, sending an email notification to account owners, and displaying a prominent notice within the platform. Your continued use of the Services after changes take effect constitutes your acceptance of the revised Terms.
